Terms of Service
1. Interpretation & Definitions
§ 1.0To ensure clarity and avoid ambiguity, the following terms are defined as follows within this agreement:
Refers to cryptocurrencies, stablecoins, tokens, and any other digital representation of value secured by cryptography and blockchain technology.
A change to the underlying protocol of a blockchain network that results in more than one version of a Digital Asset (e.g., Bitcoin vs. Bitcoin Cash).
A cryptographic piece of data that allows the holder to access and authorize transactions. If lost, the asset is irretrievable.
The web-based or mobile UI provided by us. Distinct from the underlying blockchain protocol.
2. Eligibility & Prohibited Persons
§ 2.0The Roylith platform is a fortress. We do not let just anyone in. By using the Services, you represent and warrant that:
- You are at least 18 years old and have full capacity to contract.
- You are not a citizen or resident of a Restricted Jurisdiction (including but not limited to North Korea, Iran, Syria, Cuba, Crimea, and, for certain services, the United States).
- You have not been previously suspended or removed from our platform.
- You are not identified as a "Specially Designated National" (SDN) by the Office of Foreign Assets Control (OFAC).
If you are on a sanctions list, under 18, or live in a country that hates crypto, you cannot be here. If you lie about this, we will freeze your account.
3. Account Security (The Zero-Trust Policy)
§ 3.0You are the sole guardian of your credentials. Roylith employs a "Zero-Trust" security model.
3.1 Responsibility
You agree to safeguard your username, password, and 2FA keys. You assume full responsibility for all actions taken under your account, whether authorized by you or not.
3.2 Compromise
If you suspect a breach, you must notify Roylith Security immediately. Note that blockchain transactions are irreversible; if a hacker drains your wallet, Roylith technically cannot reverse the transaction.
If you get hacked because your password was "password123", that is your fault. We cannot reverse the blockchain.
4. Custody & Title
§ 4.0Roylith operates primarily as a non-custodial interface, except where explicit "Managed Vault" services are engaged.
Title to Digital Assets remains at all times with you and shall not transfer to Roylith. As the owner, you bear all risk of loss of such Digital Assets. Roylith shall have no liability for Digital Asset fluctuations or loss.
In the event of a Roylith bankruptcy, your assets held in non-custodial wallets are not considered part of Roylith's estate.
5. Trading & Execution Rules
§ 5.0When you submit an order, you are authorizing Roylith to execute the trade on your behalf via our matching engine or aggregated liquidity providers.
5.1 Slippage
You acknowledge that the price at execution may differ from the price at submission ("Slippage"), especially during periods of high volatility.
5.2 Flash Crashes
Roylith is not liable for losses incurred due to "Flash Crashes," liquidity dry-ups, or blockchain congestion that prevents order execution.
5.3 Market Manipulation
Any attempt to manipulate the market (wash trading, spoofing, front-running) is strictly prohibited and will result in immediate termination.
Markets move fast. Sometimes you won't get the exact price you clicked. Also, don't try to cheat the market; we have algorithms that will catch you.
6. Forks, Airdrops & Staking
§ 6.0Blockchain protocols evolve. Roylith has no control over these upgrades.
6.1 Forks
In the event of a Fork, Roylith reserves the right to determine, in its sole discretion, which chain it will support. We are under no obligation to support a Fork or credit you with Forked coins.
6.2 Airdrops
Roylith does not guarantee the distribution of Airdrops. You should withdraw assets to a private wallet if you wish to participate in a specific Airdrop.
7. Fees, Gas & Taxes
§ 7.0Fees: You agree to pay all fees associated with your use of the Services as disclosed on the pricing page.
Gas: You are responsible for all blockchain network fees ("Gas"). Gas fees are paid to the network validators, not Roylith, and are non-refundable even if a transaction fails.
Taxes: It is your sole responsibility to determine whether, and to what extent, any taxes apply to any transactions you conduct. Roylith is not your tax agent.
8. High Risk Disclosure
§ 8.0Trading digital assets involves a high degree of risk. You should only invest capital that you are prepared to lose entirely. The regulatory environment is uncertain, and new laws may materially affect the value of your assets. Past performance is not indicative of future results.
9. Intellectual Property
§ 9.0The Roylith brand, logo, interface, API documentation, and code are the exclusive property of Roylith Holdings Ltd. You are granted a limited, non-exclusive license to use the Service. You may not reverse engineer, decompile, or copy the platform.
10. Termination & Suspension
§ 10.0We may terminate or suspend your account immediately, without prior notice, if:
- You violate these Terms.
- We are required to do so by a valid subpoena or court order.
- We suspect your account involves fraud or money laundering.
Upon termination, you will be permitted to withdraw your remaining assets unless such withdrawal is prohibited by law.
11. Indemnification
§ 11.0You agree to indemnify and hold Roylith harmless from any claims, demands, losses, damages, or expenses (including legal fees) arising out of your violation of these Terms or your violation of any rights of a third party.
12. Arbitration & Class Action Waiver
§ 12.0PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration administered by the International Chamber of Commerce (ICC) in Geneva, Switzerland.
You agree to waive any right to a jury trial or to participate in a class action lawsuit against Roylith.
You cannot sue us in a group. If we have a dispute, we settle it privately with an arbitrator in Switzerland. No juries.
13. The Death Protocol (Inheritance)
§ 13.0In the event of your death or incapacitation, Roylith will only transfer access to your account if the claimant provides:
- A valid Death Certificate.
- A court order or Probate document establishing executorship.
- Verified ID of the beneficiary.
We strongly recommend setting up a "Dead Man's Switch" or sharing your keys via a trusted legal mechanism, as Roylith's process is rigorous and slow by design.
14. Miscellaneous
§ 14.0Force Majeure: We are not liable for delays or failures caused by acts of God, war, strikes, or internet failures.
Entire Agreement: These Terms supersede all prior agreements.
Severability: If any provision is found invalid, the remaining provisions remain in effect.
